TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the AI receptionist services provided by Speak Geek To Me, operating as Augmently Agency ("Augmently", "we", "us", or "our"), a business based in Toronto, Ontario, Canada.

By creating an account, subscribing to a plan, or using our services at augmently.agency (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Augmently provides an AI-powered receptionist that answers your business's incoming phone calls, books appointments, and captures leads. The Services include:

An AI voice agent that greets callers and handles conversations
Appointment booking and lead capture
A dashboard to manage your agent, phone numbers, and call history
Usage tracking, overage billing, and optional add-ons

We may update, modify, or discontinue features of the Services at any time. We will use reasonable efforts to notify you of material changes.

2. Accounts and Registration

You must provide accurate, current, and complete information when creating an account.
You are responsible for safeguarding your account credentials and for all activity under your account.
You must be at least 18 years old and have the legal authority to bind the business you represent.
You are responsible for the phone number(s) assigned to your account and for how your AI agent represents your business.

3. Fees, Payment, and Billing

All prices are in Canadian dollars (CAD) unless stated otherwise.

Setup fee: A one-time $999 CAD setup fee is charged at checkout. It covers full configuration of your AI receptionist and includes 12 months of Concierge Support (white-glove onboarding and managed service).
Subscription: Plan fees are billed monthly in advance and auto-renew until you cancel.
Overage: Usage beyond your plan's included minutes is billed at the published per-minute rate for your plan ($0.40/min on Starter, $0.25/min on Growth). Overage is billed immediately when incurred.
Add-ons: Optional add-ons are billed monthly alongside your plan.
Taxes: Applicable taxes (e.g., HST) may be added to your invoices.
Failed payments: If a payment fails, we will attempt to retry. If payment is not received within 48 hours of a failed charge, your service may be paused until the balance is paid. Continued non-payment may result in termination of your account.

4. Refunds

Refunds are governed by our Refund Policy. In summary:

The setup fee is fully refundable if you cancel before onboarding begins, and non-refundable once setup work has started.
Monthly subscription fees are non-refundable for partial months.
Overage charges are non-refundable.

5. Call Recording, Data, and Privacy

Calls handled by your AI agent may be recorded, transcribed, and stored to provide the Services.
You are responsible for complying with all applicable laws regarding call recording and customer consent, including Canada's PIPEDA and any provincial privacy laws. You must inform callers that calls may be recorded or handled by an AI system where required by law.
Your data is processed by third-party providers we use to operate the Services, including voice/AI providers, cloud hosting, and payment processing. See our Privacy Policy for details.
You retain ownership of your business data. We use it only to provide and improve the Services, as described in the Privacy Policy.

Call Recording & AI Disclosure

Calls answered by your AI receptionist may be recorded, transcribed, and processed by an artificial intelligence system so we can deliver and improve the Services. You must inform callers of recording and AI handling, and obtain any consent required by applicable law — including Canada's PIPEDA and CRTC rules, and the U.S. Telephone Consumer Protection Act (TCPA) and related state laws where they apply. Augmently provides configurable disclosure language for agent greetings; you remain responsible for ensuring disclosures meet your jurisdiction's requirements. Failure to obtain required consent may expose you to legal liability; Augmently is not liable for your non-compliance.

6. Acceptable Use

You agree not to use the Services in any way that violates the Prohibited Use Policy, including illegal activity, harassment, fraud, spam, or interference with the Services.

7. Intellectual Property

The Services, including our software, AI agents, branding, and documentation, are owned by Augmently and protected by intellectual property laws.
You may not copy, modify, distribute, sell, or reverse-engineer any part of the Services.
You grant us a limited license to use your business name, logo, and content solely to provide the Services to you.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party and to use it only for the purposes of these Terms.

9. Termination

By you: You may cancel your subscription at any time from your dashboard or by contacting us. Cancellation takes effect at the end of your current billing period.
By us: We may suspend or terminate your account for breach of these Terms, non-payment, or conduct that threatens the security or integrity of the Services.
Upon termination, you will lose access to the Services and your data may be deleted after a reasonable retention period.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR BUSINESS. AI SYSTEMS CAN MAKE MISTAKES — YOU ARE RESPONSIBLE FOR REVIEWING HOW YOUR AGENT REPRESENTS YOUR BUSINESS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUGMENTLY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL AUGMENTLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

12. Indemnification

You agree to indemnify and hold harmless Augmently and its owners, employees, and providers from any claims, damages, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of applicable law.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of Ontario.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Services. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
